Terms of Service

Introduction

Nihonium Labs Private Ltd ("we", "us", or "our") provides the aeo.vc software platform (the "Service"). By accessing or using our Service, you agree to be bound by these Terms of Service.

Payments are processed by Paddle.com Market Limited ("Paddle"), acting as our Merchant of Record. Paddle handles buyer invoicing, payment processing, and applicable taxes (e.g., VAT/GST) and issues receipts on our behalf.

Eligibility

You must be at least 18 years old and capable of forming a binding contract to use our Service. By using the Service, you represent and warrant that you meet these requirements.

Accounts & Access

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

  • Provide accurate and complete registration information
  • Maintain and promptly update your account information
  • Notify us immediately of any unauthorized use of your account
  • Not share your account credentials with others

Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe upon the intellectual property rights of others
  • Transmit malicious code, viruses, or harmful software
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Interfere with or disrupt the Service or servers
  • Use the Service for any fraudulent or illegal purpose
  • Scrape, data mine, or harvest data without permission

Intellectual Property

The Service, including all content, features, and functionality, is owned by Nihonium Labs Private Ltd and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain ownership of any content you submit to the Service. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of providing the Service.

Subscriptions, Pricing & Billing

We offer auto-renewing subscription plans at $99 and $199 (USD) per billing period. By subscribing, you authorize recurring charges to your payment method until you cancel your subscription.

All payments are collected by Paddle as our Merchant of Record. Your credit card or bank statement may reference Paddle or Paddle.com. Paddle is responsible for:

  • Processing payments and handling payment-related inquiries
  • Calculating and collecting applicable taxes (VAT, GST, sales tax, etc.)
  • Issuing invoices and receipts
  • Managing payment disputes and chargebacks

Subscription fees are billed in advance on a recurring basis (monthly or annually, depending on your plan). Prices are subject to change with 30 days' notice.

Cancellations

You may cancel your subscription at any time through your account settings or by contacting our support team. Upon cancellation:

  • Your access to the Service will continue through the end of your current billing period
  • You will not be charged for subsequent billing periods
  • No prorated refunds will be issued for the remaining time in your billing period

Refunds

Important: We do not offer refunds or money-back guarantees. All sales are final.

Where required by applicable consumer protection law (e.g., statutory consumer rights in certain jurisdictions), refunds may be processed by Paddle to the original payment method. Such refund requests should be directed to Paddle's support team or our support email at hello@aeo.vc.

Disclaimers; Limitation of Liability; Indemnity

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NIHONIUM LABS PRIVATE LTD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your use or inability to use the Service
  • Any unauthorized access to or use of our servers and/or any personal information stored therein
  • Any interruption or cessation of transmission to or from the Service
  • Any bugs, viruses, or other harmful code transmitted through the Service

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

Indemnity

You agree to indemnify, defend, and hold harmless Nihonium Labs Private Ltd, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Service or your violation of these Terms.

Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act, 1996, conducted in English. The arbitration shall take place in Bangalore, India.

Notwithstanding the foregoing, we may seek injunctive or other equitable relief in any court of competent jurisdiction to protect our intellectual property rights.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through a prominent notice on the Service. Your continued use of the Service after such notice constitutes acceptance of the updated Terms.

Termination

We may suspend or terminate your access to the Service at any time, with or without cause or notice, including for violation of these Terms. Upon termination, your right to use the Service will immediately cease.

Miscellaneous

These Terms constitute the entire agreement between you and Nihonium Labs Private Ltd regarding the Service. If any provision is found to be unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any right or provision shall not constitute a waiver of such right or provision.
